Trading Services Agreement

1. Introduction and Acceptance of Terms

1.1 Purpose of Agreement

This User Agreement (“Agreement”) sets forth the terms and conditions under which UnitedPips (hereafter referred to as the “Company” or “UnitedPips”) provides its trading and investment services to you, the client (“Client” or “you”). The purpose of this Agreement is to clearly define the rights, responsibilities, and obligations of both parties in relation to the use of our trading platforms and services. By entering into this Agreement, you agree to comply with all stipulations outlined herein.

1.2 Acknowledgment of Terms

You acknowledge that you have read, understood, and accepted all terms and conditions stipulated in this Agreement. Your use of the trading services and platforms provided by UnitedPips signifies your acceptance of these terms. If you do not agree to these terms, you must immediately discontinue using our services and platforms.

1.3 Eligibility Requirements

To engage in a contractual relationship with UnitedPips, you must meet the following criteria:

  • Be at least 18 years of age.
  • Be legally capable of entering into binding agreements.
  • Have the legal capacity to engage in financial trading and investment activities.

By accepting this Agreement, you confirm that you meet these requirements and that you are not prohibited from using our services under any applicable laws or regulations.

1.4 Electronic and Physical Agreement

By creating an account and using our services, you consent to the electronic version of this Agreement. UnitedPips may request a physical copy of this Agreement and other related documents for verification purposes. You agree to provide these documents promptly upon request. The electronic version of this Agreement shall govern your interactions with UnitedPips unless otherwise specified.

1.5 Modification of Terms

UnitedPips reserves the right to modify, amend, or update this Agreement at its sole discretion. It is your responsibility to regularly review this Agreement for any changes or updates. Continued use of our services following any modifications constitutes your acceptance of the revised terms.

1.6 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which UnitedPips is incorporated. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

2. Risk Disclosure and Market Conduct

2.1 Understanding Financial Risk

Trading in financial markets, including Forex, involves substantial risks. The potential for significant gains is accompanied by the risk of considerable losses. You should only trade with funds you can afford to lose. The volatile nature of financial markets can lead to rapid and unpredictable price changes. It is crucial to fully understand these risks and to seek independent financial advice if necessary before engaging in trading activities.

2.2 Leverage and Margin Trading

Leverage allows you to control a larger position in the market with a relatively small amount of capital. While this can magnify potential profits, it also increases the risk of significant losses. The use of leverage may result in losses exceeding your initial investment. UnitedPips encourages clients to use leverage cautiously and in alignment with their risk tolerance and trading experience. Be aware that high-leverage trading can result in a margin call, requiring you to deposit additional funds to maintain your position.

2.3 Stress and Psychological Impact

Trading in financial markets can be highly stressful and may negatively affect your psychological well-being. Research indicates that trading is among the most stressful professions due to the high pressure and rapid decision-making it demands. If you experience significant stress or if trading adversely impacts your health, you should reconsider whether trading is appropriate for you. Seek professional assistance if needed to manage stress and maintain your mental health.

2.4 Market Dynamics and Price Movements

Financial markets, including the Forex market, are influenced by numerous factors such as economic indicators, geopolitical events, and market sentiment. Price movements can be unpredictable and may become highly volatile during economic announcements or major market events. It is essential to stay informed about market conditions and news that may impact your trades. UnitedPips provides market data and information but does not guarantee the accuracy or timeliness of such information.

2.5 Risk Management Strategies

To mitigate the risks associated with trading, it is advisable to employ risk management strategies such as setting stop-loss orders, diversifying your investment portfolio, and using appropriate leverage. Regularly review and adjust your trading strategy based on market conditions and your personal risk tolerance. UnitedPips offers tools and resources to assist with risk management; however, the ultimate responsibility for managing risk rests with you.

2.6 Volatility and Liquidity Considerations

Market volatility and liquidity can affect the execution of trades and the prices at which orders are filled. During periods of high volatility or low liquidity, there may be delays in order execution, price slippage, or difficulty opening or closing positions. It is important to be aware of these factors and consider their impact on your trading strategy.

3. Financial Transactions and Account Operations

3.1 Anti-Money Laundering (AML) and Compliance

UnitedPips is committed to complying with strict anti-money laundering (AML) regulations. We conduct rigorous checks to prevent and report any suspicious activities related to money laundering or other illicit financial conduct. If we detect any suspicious transactions, we will report them to the appropriate regulatory authorities. You are required to provide accurate and truthful information during the account verification process.

3.2 Direct Transfers and Payment Methods

All deposits and withdrawals must be made through accounts held in your name. Transfers from third-party accounts are not permitted to prevent fraud and ensure compliance with financial regulations. You must use only your personal bank accounts or electronic payment methods for all financial transactions with UnitedPips. Any deposits made from third-party accounts will be returned, and additional verification may be required.

3.3 Withdrawal Procedures and Timeframes

  • Withdrawal Methods: Withdrawals must be processed using the same payment method as the deposit, unless otherwise approved by UnitedPips. If the payment method is no longer available, you must provide alternative account details for withdrawals.
  • Processing Time: Standard withdrawal processing times range from one hour to three business days. Processing times may be extended if additional verification is required or if the withdrawal request involves significant amounts.

3.4 Verification of Funds

You must ensure that all deposited funds originate from legitimate and legal sources. Funds must not be derived from loans, debts, or contributions from third parties. UnitedPips reserves the right to request documentation to verify the source of funds. Failure to provide satisfactory documentation may result in delays or the refusal of withdrawal requests.

3.5 Account Fund Management

Upon receipt of deposited funds, they will be credited to your trading account immediately. You may request to withdraw part or all of your free margin, which is not actively involved in trading. UnitedPips does not accept third-party payments, and all withdrawals are subject to processing fees as outlined in our fee schedule.

3.6 Anti-Collusion and Ethical Conduct

Collusion with Introducing Brokers (IBs) or other entities to generate unauthorized commissions or rebates is strictly prohibited. UnitedPips monitors account activities for signs of collusion or fraudulent behavior. Any detected fraudulent activities will result in immediate account suspension and potential legal action. Unauthorized rebates will be removed, and accounts involved in such activities may be terminated.

3.7 Order Execution and Market Conditions

Orders placed during periods of market closure, low liquidity, or high volatility may be subject to delays or slippage. UnitedPips does not guarantee the execution of orders under these conditions. Orders that cannot be executed due to market circumstances will be canceled, and you will be notified accordingly. It is your responsibility to monitor market conditions and adjust your trading strategy as needed.

3.8 Minimum and Maximum Deposit/Withdrawal Limits

UnitedPips sets minimum and maximum limits for deposits and withdrawals to manage risk and ensure compliance with financial regulations. These limits may vary based on the payment method used and the account type. The applicable limits will be communicated to you at the time of your deposit or withdrawal request.

3.9 Fees and Charges

UnitedPips may impose fees for certain transactions, including, but not limited to, deposits, withdrawals, and currency conversions. These fees will be disclosed on our website and are subject to change. It is your responsibility to review the fee schedule and ensure you are aware of any applicable charges before conducting transactions.

3.10 Account Security and Unauthorized Transactions

You are responsible for maintaining the security of your trading account and credentials. Notify UnitedPips immediately if you suspect any unauthorized access or transactions on your account. We will investigate and take appropriate action to address any security breaches. However, you may be held liable for any losses resulting from unauthorized access due to negligence in maintaining your account security.

3.11 Policy on High-Risk Trading Activities and News Events Exploitation

Engaging in high-volume trading that involves the use of high leverage shortly before the market closes, during major news events, or in low-liquidity periods—specifically to exploit potential market gaps—is strictly prohibited. If a client is found violating this policy, their account will be suspended, and their initial deposit will be refunded after a period determined by the broker.

3.12 Fixed Spread Commitment and Trading Conduct During Low Liquidity

We are committed to maintaining stable and fixed spreads, even during periods of reduced market activity. However, any trades placed during these quieter hours with low volume, intended to take advantage of fixed spreads, may not be considered valid, and such transactions are not subject to execution guarantees.

4. Fraud Prevention and Conduct Policies

4.1 Monitoring and Account Suspension

UnitedPips monitors trading activities and transactions for signs of suspicious behavior, including, but not limited to, market manipulation, fraudulent transactions, and illegal trading practices. Accounts exhibiting such behavior may be suspended, and any open positions will be closed. You accept responsibility for any consequences arising from the suspension of your account due to such activities.

4.2 Prohibition of Fraudulent Activities

Engaging in fraudulent activities, including the use of stolen credit cards, executing chargebacks, or attempting to deceive UnitedPips, is strictly prohibited. Any such activities will result in immediate account suspension, and relevant authorities may be notified. UnitedPips reserves the right to pursue legal action against individuals involved in fraudulent conduct.

4.3 Misuse of Technology and Trading Platforms

The use of unauthorized software, such as illegal Expert Advisors or trading algorithms that exploit system vulnerabilities, is prohibited. UnitedPips employs technology to detect and prevent such activities. Accounts found to be involved in illegal trading practices will be terminated, and any profits generated from these activities will be forfeited.

4.4 Copy-Trading and Third-Party Access

You are solely responsible for the management of your trading account. The use of third-party services or platforms to access your account or execute trades on your behalf is prohibited. Providing account credentials to third parties for copy-trading or similar services constitutes a violation of this Agreement and may result in account suspension or termination.

4.5 Reporting Suspicious Activities

If you suspect any fraudulent or suspicious activities related to your account or the accounts of other clients, you are required to report these concerns to UnitedPips immediately. We will investigate all reports and take appropriate actions to address any identified issues.

4.6 Reversal of Transactions and Chargebacks

Chargebacks or reversals of transactions initiated by you may result in penalties and account suspension. UnitedPips reserves the right to recover any losses incurred as a result of such actions. Ensure that all transactions are conducted with your full knowledge and consent to avoid disputes.

4.7 Compliance with Legal and Regulatory Requirements

You must comply with all applicable laws and regulations related to financial trading and investment. UnitedPips reserves the right to report any activities that violate legal or regulatory requirements to the relevant authorities. Non-compliance may result in account termination and legal consequences.

4.8 Dispute Resolution and Legal Actions

In the event of a dispute arising from fraudulent activities or breaches of this Agreement, UnitedPips will seek to resolve the matter through negotiation and mediation. If necessary, legal action may be taken to enforce the terms of this Agreement and to recover any losses or damages incurred.

5. Client Responsibilities and Obligations

5.1 Accuracy of Information

You are required to provide accurate, complete, and up-to-date information when creating and maintaining your trading account. Any changes to your personal or financial information must be reported to UnitedPips promptly. Failure to provide accurate information may result in account suspension or termination.

5.2 Account Security and Confidentiality

It is your responsibility to maintain the confidentiality of your account credentials, including passwords and security codes. You must not share your account information with anyone. UnitedPips will not be liable for any losses resulting from unauthorized access to your account due to your failure to protect your credentials.

5.3 Notification of Changes

You must notify UnitedPips of any changes to your personal information, financial status, or trading objectives. This includes changes in contact information, financial circumstances, or any other relevant details that may affect your account or trading activities.

5.4 Compliance with Trading Policies

You agree to comply with all trading policies and procedures established by UnitedPips. This includes adhering to margin requirements, trading limits, and other operational guidelines. Failure to comply with these policies may result in account restrictions or suspension.

5.5 Understanding Trading Products

Before engaging in trading activities, you must fully understand the products and services offered by UnitedPips, including the risks associated with different trading instruments such as Forex, commodities, and indices. Seek clarification from UnitedPips if you have any questions or uncertainties about the trading products.

5.6 Investment Goals and Risk Tolerance

You should assess your investment goals, risk tolerance, and financial situation before trading. Ensure that your trading activities align with your financial objectives and risk appetite. UnitedPips does not provide investment advice, and you are solely responsible for your trading decisions.

5.7 Ethical Trading Practices

You are expected to engage in ethical trading practices and to conduct yourself in a professional manner. This includes avoiding practices such as market manipulation, abusive trading strategies, or exploiting system vulnerabilities. UnitedPips reserves the right to take action against any unethical behavior.

5.8 Regular Review of Account Activity

You should regularly review your account activity, including transaction history, trading performance, and account statements. Promptly report any discrepancies or unauthorized transactions to UnitedPips for investigation.

5.9 Financial Responsibility

You are financially responsible for all trading activities conducted under your account. Ensure that you have sufficient funds in your account to cover any open positions, margin requirements, and potential losses. UnitedPips is not liable for any financial losses resulting from insufficient funds or your failure to manage your account responsibly.

5.10 Indemnification

You agree to indemnify and hold harmless UnitedPips, its affiliates, officers, directors, and employees from any claims, losses, damages, or expenses arising out of your use of our services, including, but not limited to, violations of this Agreement, legal disputes, and regulatory actions.

5.11 High-Volume and High-Leverage Trading Restrictions

To ensure fair and orderly trading practices, the following rules apply to high-volume and high-leverage trades:

Prohibited Practices: Engaging in high-volume trades or using leverage greater than 1:50 shortly before the market close, during significant news events, or in low-volume time frames is strictly prohibited. Such practices are deemed abusive and may disrupt market conditions. This includes exploiting potential market gaps to make a profit.

Consequences for Violation: Any client found engaging in these prohibited practices will have their account suspended or blocked. Additionally, any earnings derived from such activities will be forfeited, and the account will be reviewed for potential abuse.

Account Suspension and Deposit Refund: In cases where such violations occur, the client’s account will be temporarily suspended. The client’s initial deposit will be held for 90 days before being refunded, subject to any necessary investigations. During this period, the account will be evaluated for compliance with trading policies.

6. Service Disruptions and Limitations

6.1 Service Availability

UnitedPips strives to provide uninterrupted and reliable trading services. However, we do not guarantee the continuous availability of our services. Service disruptions may occur due to maintenance, technical issues, or unforeseen circumstances. We will make reasonable efforts to restore service as quickly as possible.

6.2 Technical Issues and System Failures

In the event of technical issues or system failures, UnitedPips will take appropriate measures to resolve the problem. However, we are not liable for any losses or damages resulting from such issues. It is your responsibility to verify the accuracy of trade executions and account balances.

6.3 Market Data and Information

UnitedPips provides market data and information as a service to our clients. While we aim to ensure the accuracy and timeliness of this information, we do not guarantee its completeness or reliability. You should independently verify market data and perform due diligence before making trading decisions.

6.4 Force Majeure Events

UnitedPips is not liable for any failure or delay in the performance of our services due to events beyond our control, including, but not limited to, natural disasters, war, terrorism, government actions, or network failures. In such cases, we will make reasonable efforts to mitigate the impact on our services.

6.5 Limitation of Liability

UnitedPips is not liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services, including, but not limited to, loss of profits, data loss, or business interruption. Our liability is limited to the maximum extent permitted by law.

6.6 Client Responsibilities During Disruptions

During service disruptions or technical issues, you are responsible for managing your trades and account activity. UnitedPips will not be liable for any financial losses resulting from disruptions in service. Ensure that you have contingency plans in place to manage your trading activities during such events.

6.7 Emergency Procedures

In the event of a critical service disruption, UnitedPips will implement emergency procedures to address the situation. This may include temporary suspension of trading activities, communication of updates, and restoration of services. Follow any instructions provided by UnitedPips during such events.

6.8 Account Reconciliation and Disputes

If you believe there is a discrepancy or issue with your account or transactions, you must notify UnitedPips promptly. We will investigate and attempt to resolve any disputes or discrepancies in accordance with our policies and procedures. Documentation and evidence supporting your claim may be required.

6.9 Access to Historical Data

Access to historical trading data and account statements may be provided for a limited period. UnitedPips is not obligated to retain historical data indefinitely. It is your responsibility to download and retain any necessary data for your records before it becomes inaccessible.

6.10 Service Updates and Maintenance

UnitedPips may periodically update or perform maintenance on our systems and services. We will endeavor to minimize disruptions and provide advance notice of scheduled maintenance. During such periods, access to trading platforms and services may be temporarily unavailable.

6.11 Scalping and Rapid Trading Restrictions

To prevent scalping and other forms of rapid trading that may exploit short-term market movements, UnitedPips enforces a specific policy. Trades that are opened and closed within a six-minute window are subject to additional scrutiny. Such trades are monitored to prevent any unfair advantage or market disruption. Clients engaging in trades with this rapid turnaround may have their accounts reviewed, and any resulting gains from these trades may be adjusted or reversed.

7. Agreement Modification and Termination

7.1 Right to Amend Terms

UnitedPips reserves the right to modify or amend this Agreement at any time. Changes may include updates to terms, policies, fees, or service offerings. Any amendments will be communicated through our website, trading platforms, or via email. It is your responsibility to review the revised terms regularly.

7.2 Notification of Changes

We will provide notification of significant changes to this Agreement through direct communication or by posting updates on our website. It is your responsibility to stay informed about any changes. Failure to review updates may result in unawareness of new terms and conditions.

7.3 Acceptance of Modified Terms

By continuing to use UnitedPips’ services after changes to this Agreement, you accept and agree to the revised terms. If you do not accept the modified terms, you must discontinue the use of our services immediately and close your account.

7.4 Termination by Client

You may terminate this Agreement and close your account at any time by providing written notice to UnitedPips. Ensure that all open positions are closed and any outstanding obligations are settled before initiating termination. We will process the account closure and return any remaining funds in accordance with our policies.

7.5 Termination by UnitedPips

UnitedPips reserves the right to terminate this Agreement and close your account at its discretion. Termination may occur due to violations of this Agreement, legal or regulatory requirements, or other reasons deemed necessary by UnitedPips. We will notify you of termination and provide instructions for account closure and fund withdrawal.

7.6 Account Closure and Fund Transfer

Upon termination of this Agreement, UnitedPips will close your trading account and transfer any remaining funds to your designated payment method. Any fees or charges incurred during the account closure process will be deducted from your account balance. Ensure that your account details are up to date to facilitate the transfer of funds.

7.7 Post-Termination Obligations

After termination of this Agreement, you remain responsible for settling any outstanding obligations, including fees, commissions, or losses. UnitedPips retains the right to pursue collection of any amounts owed. Following termination, you will no longer have access to trading platforms, account statements, or other services.

7.8 Survival of Terms

Certain provisions of this Agreement will survive termination, including, but not limited to, confidentiality obligations, liability disclaimers, and dispute resolution clauses. These provisions will remain in effect to the extent necessary to enforce any rights or obligations arising from your use of our services.

7.9 Dispute Resolution

Any disputes arising from the termination of this Agreement will be resolved in accordance with the dispute resolution procedures outlined herein. Both parties agree to attempt resolution through negotiation and mediation before resorting to legal action.

7.10 Final Settlement

Upon account closure, UnitedPips will provide a final settlement statement detailing the closing balance, any outstanding fees, and the final transfer of funds. Review the statement carefully and ensure that all transactions are accurately reflected. Any discrepancies should be reported to UnitedPips promptly.

8. Confidentiality and Data Protection

8.1 Confidentiality of Information

UnitedPips is committed to maintaining the confidentiality of your personal and financial information. We will not disclose your information to third parties without your consent, except as required by law or regulatory authorities. Confidentiality extends to all communications, transactions, and data related to your account.

8.2 Data Protection and Privacy

We adhere to data protection laws and regulations to ensure the security and privacy of your information. Personal data collected from you will be used solely for the purpose of providing and improving our services. We implement appropriate measures to protect your data from unauthorized access, disclosure, or loss.

8.3 Use of Personal Information

Your personal information may be used to verify your identity, process transactions, and provide you with relevant updates and information. UnitedPips may also use your data for internal purposes such as improving our services and conducting market research. You consent to the use of your information in accordance with our Privacy Policy.

8.4 Data Retention and Access

UnitedPips retains personal and account data for the duration required to comply with legal and regulatory requirements. You have the right to access your personal data and request corrections or deletions as permitted by law. Contact our support team to exercise your data access rights.

8.5 Third-Party Service Providers

8.8 Consent to Data Transfer

By using our services, you consent to the transfer and processing of your data outside your jurisdiction if necessary for the provision of our services. We will ensure that such transfers are conducted in compliance with applicable data protection laws.

8.9 Privacy Policy

9. Dispute Resolution and Legal Proceedings

Contact our support team to raise any concerns or issues. We will make reasonable efforts to address and resolve your dispute in a timely manner.

If internal resolution efforts are unsuccessful, you agree to submit the dispute to mediation or arbitration as outlined in this Agreement. Mediation involves a neutral third party facilitating negotiations between the parties to reach a settlement. Arbitration involves a binding decision by an arbitrator.

9.3 Legal Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which UnitedPips is incorporated. Any legal proceedings arising from this Agreement shall be conducted in the courts of that jurisdiction. You consent to the exclusive jurisdiction of these courts.

9.4 Alternative Dispute Resolution (ADR)

If mediation or arbitration is not feasible, the dispute may be resolved through alternative dispute resolution (ADR) methods. ADR processes are designed to provide fair and efficient resolution without resorting to litigation. Both parties must agree to participate in ADR proceedings.

9.5 Legal Costs and Expenses

In the event of legal proceedings, each party will bear its own legal costs and expenses unless otherwise ordered by the court or agreed upon by the parties. This includes costs associated with legal representation, filing fees, and other expenses incurred in connection with the dispute.

9.6 Enforcement of Judgments

Any judgments or awards resulting from legal proceedings, mediation, or arbitration shall be enforceable in accordance with applicable laws. UnitedPips and you agree to comply with any court orders or arbitration awards issued in connection with the dispute.

9.7 Injunctive Relief

In addition to other remedies, either party may seek injunctive relief to prevent or address breaches of this Agreement. Injunctive relief is a court order requiring a party to take or refrain from taking specific actions and is intended to prevent harm or enforce obligations under this Agreement.

9.8 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of a class action or collective action. Class action lawsuits or group claims are not permitted under this Agreement. All claims must be pursued individually and not in conjunction with claims by other clients.

9.9 Waiver of Jury Trial

You and UnitedPips waive the right to a jury trial for any disputes arising from this Agreement. This waiver is intended to streamline the dispute resolution process and ensure a fair and efficient resolution of claims.

9.10 Severability of Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified or interpreted to achieve its intended purpose as closely as possible.

10. Intellectual Property Rights

10.1 Ownership of Intellectual Property

All intellectual property rights, including trademarks, copyrights, patents, and trade secrets related to UnitedPips’ services, platforms, and content, are owned by UnitedPips or its licensors. You are granted a limited, non-exclusive, non-transferable license to use these intellectual property rights for personal use only.

10.2 Usage Restrictions

You may not reproduce, distribute, modify, or create derivative works based on UnitedPips’ intellectual property without our prior written consent. Unauthorized use of our intellectual property constitutes a violation of this Agreement and may result in legal action.

10.3 Licensing and Permissions

Any use of UnitedPips’ intellectual property outside the scope of this Agreement requires explicit permission from UnitedPips. Requests for licensing or permissions must be submitted in writing and will be evaluated on a case-by-case basis.

10.4 User Content and Contributions

If you contribute content to UnitedPips, such as feedback, suggestions, or reviews, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and display your contributions. 13.1 Trading Platform Hours

The trading platform for clients operates according to the following schedule:
Trading Hours: The platform is available for trading from 00:00 UTC+2 on Monday through 23:59 UTC+2 on Friday. During these hours, clients may access and trade across various currency pairs and financial instruments.
